By accessing or using the Cephra platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the platform.

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the platform after changes constitutes acceptance of the revised terms.

2. Account Registration

To use certain features of the platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use.

3. Permitted Use

You may use the Cephra platform to create, deploy, monitor, and manage AI agents for lawful purposes. You agree not to use the platform to develop agents that engage in illegal activities, generate harmful content, or violate the rights of others.

You must not attempt to gain unauthorised access to the platform, interfere with its operation, reverse-engineer its systems, or use automated tools to scrape content beyond what is provided through our official APIs.

4. Intellectual Property

The Cephra platform, including its design, code, documentation, and branding, is the intellectual property of Cephra and is protected by applicable copyright and trademark laws.

You retain ownership of the content you create using the platform, including agent configurations, workflows, and task outputs. By using the platform, you grant us a limited licence to process and store this content as necessary to deliver the service.

5. Agent Marketplace

The Cephra marketplace allows users to publish and discover AI agents. Published agents must comply with our content guidelines and quality standards. We reserve the right to remove agents that violate these standards.

Agent publishers are responsible for the accuracy of their listings and the behaviour of their agents. Cephra does not guarantee the performance, safety, or fitness for purpose of third-party agents.

6. Payment and Billing

Certain features of the platform may require a paid subscription. Pricing, billing cycles, and payment terms are described on our pricing page. All fees are non-refundable except as required by law or as otherwise stated.

We may change our pricing with 30 days advance notice. If you do not agree to the new pricing, you may cancel your subscription before the next billing cycle.

7. Limitation of Liability

To the maximum extent permitted by law, Cephra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of data, revenue, or business opportunities.

Our total liability for any claims arising under these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

8. Termination

We may suspend or terminate your access to the platform at any time, with or without cause, upon reasonable notice. You may delete your account at any time through your account settings.

Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
